Due Diligence
Due Diligence is imperative
to a company, as a precursor to undertaking business or creating
a relationship with another company. An investigation into
the financial and commercial activities of a company in relation
to a planned acquisition or a disposal of an interest in another
company is paramount. The due diligence process includes the
collection, analysis and interpretation of financial, commercial,
legal and marketing information in order to determine its
suitability for any proposed action.
As a company making an acquisition of all or part of another
business all aspects of that business will need to be put
under a microscope. Alecto brings a more practical facet to
the enquiry by looking beyond the usual information examined
to establish whether it is accurate and genuine. In addition
individuals are subjected to a deep due diligence examination
to establish whether they are as they project themselves.
Alecto undertakes comprehensive due diligence investigations
on individuals who put themselves forward for senior or key
roles in organizations to establish suitability, honesty and
integrity for the role and to establish whether they have
the potential to embarrass the company at a later stage. While
there is no full proof way of determining whether a director,
company accountant or other employee will later steal or commit
other crime on a company or use the company as a vehicle for
dishonesty most individuals are consistent in their behaviour.
Due diligence investigations establishes previous conduct
and behaviour in a variety of aspects of a persons life. The
added value of those undertaken by Alecto is that while public
records are accessed further physical enquires are undertaken
to delve deeper into those areas which public records do not
identify such as lifestyle behaviour. Also, unlike conventional
due diligence enquires, subject individuals are formally interviewed
to test, probe and explore the sincerity of their assertions.
